By creating an account, accessing, or using communitee.ai, you confirm that you can form a binding contract with us, that you accept these Terms of Service, and that you agree to comply with them and all applicable laws and regulations.
You may use the Service only if you are at least the age of majority in your jurisdiction and are not barred from using the Service under any applicable law. By using the Service on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization.
communitee.ai is a software platform that provides tools and services to build, manage, and analyze communities, communications, and related data. We may update, modify, or discontinue features from time to time to improve the Service or comply with legal or technical requirements.
To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.
We reserve the right to suspend or terminate your account if we suspect any violation of these Terms or unauthorized use of the Service.
You retain all rights to the content and data you submit, upload, or otherwise make available through the Service (“User Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display User Content solely as necessary to operate and improve the Service, comply with law, or enforce these Terms.
You represent and warrant that you have all necessary rights, permissions, and consents to submit User Content to the Service and to grant the rights described in these Terms, and that your User Content does not infringe or violate any third-party rights or applicable law.
You agree not to misuse the Service or help anyone else do so. You must not, for example:
Access to certain features of the Service may require a paid subscription or one-time fees. All prices, billing periods, and payment terms will be displayed at the time of purchase or in your account settings. Unless stated otherwise, fees are non-refundable and are billed in advance.
You authorize us and our third-party payment processors to charge your chosen payment method for all applicable fees. You are responsible for providing complete and accurate billing information and for keeping it up to date.
These Terms apply from the time you first use the Service and continue until terminated. You may stop using the Service at any time. We may suspend or terminate your access to the Service, or any part of it, immediately and without liability if you violate these Terms, if required by law, or if we discontinue the Service.
Upon termination, your right to use the Service will stop immediately. Certain provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
All rights, title, and interest in and to the Service, including all software, technology, designs, and content (excluding your User Content), are owned by communitee.ai or its licensors and are protected by intellectual property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described in it.
The Service may integrate with or provide links to third-party services, websites, or applications. We do not control and are not responsible for the content, policies, or practices of third parties. Your use of any third-party services is subject to those third parties’ terms and policies, not these Terms.
The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee any specific results from using the Service.
To the maximum extent permitted by law, in no event shall communitee.ai, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.
In no event shall our total liability for all claims relating to the Service exceed the greater of (i) the amount you paid us, if any, for access to the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless communitee.ai, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms or any applicable law.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws applicable in the jurisdiction where communitee.ai is organized, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction and venue of such courts.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms without restriction. These Terms, together with any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and communitee.ai regarding the Service.
